We have deep experience in commercial real estate development and financing, including governmental incentives and loans originated for securitization by conduits, banks, investment banks and insurance companies.

We understand the application of technology to the financial sector, representing internet banking hosting companies, ACH service providers, and bank-related software vendors.

• Review, supervise and handle all types of regulatory filings, compliance matters and operational issues, including CRA, usury and loan charges, discrimination, etc.
• Advise clients on equity participations, warrants, etc.
• Assist clients in the entertainment industry — including music publishers and record labels — with financing.
• Handle loan collection issues, including maximizing recovery and value in workout and insolvency situations, especially those requiring realization of value of intellectual property.
• Assist with the closing of senior debt, mezzanine and venture capital financings.
• Provide advice on corporate governance issues, including anti-takeover and shareholder rights ("poison pill") plans.
