Boult Cummings has one of the largest and deepest practices in our market focusing on the representation of hospitals and health systems.  We represent the dominant nonprofit system in our market, consisting of four acute care hospitals, numerous surgery centers, specialty facilities, home health agencies, a hospice, physician practices and related service lines.  We also represent two national proprietary chains, which together operate more than 150 acute care facilities and countless physician practices, surgery centers, joint ventures and long term care facilities. 

We help these clients acquire, syndicate and develop a variety of ancillary providers, such as cardiac catheterization laboratories, specialty hospitals, and surgery centers. We also advise hospitals with respect to physician recruiting, physician employment, and hospital-based physician contracting; handle complicated on- and off-balance-sheet real estate financings for medical office buildings; monitor tax-exempt bond compliance; negotiate managed care contracts; and provide regulatory counsel, including Stark, fraud and abuse, HIPAA, EMTALA, and labor and employment advice.

Experience:

• Handle network and managed care contracting.
• Assist with IRB and other research related matters.
• Provide antitrust advice.
• Provide counsel on fraud and abuse, Stark, and state anti-kickback and self-referral laws.
• Negotiate physician recruiting agreements, and provide advice regarding legal compliance of recruiting arrangements.
• Draft employment and professional services agreements with physicians.
• Prepare hospital-based physician contracts.
• Handle joint ventures (ASC's, catheterization labs, specialty hospitals, imaging centers, etc).
• Provide counsel for real estate financings, acquisitions and dispositions.
• Handle facility and ancillary line acquisitions and dispositions.
• Handle tax-exempt bond compliance issues.
